Brookfield Residential Announces Application to Cease to be a Reporting Issuer
CALGARY, ALBERTA--(Marketwired - March 3, 2015) - Brookfield Residential Properties Inc. (the "Company" or "Brookfield Residential") (TSX:BRP) (NYSE:BRP) announced today that in connection with the proposed plan of arrangement (the "Arrangement") pursuant to which 1927726 Ontario Inc., a wholly owned subsidiary of Brookfield Asset Management Inc., will acquire all of the common shares of Brookfield Residential that are not already owned by Brookfield Asset Management and its affiliates for consideration of $24.25 per share, Brookfield Residential has applied to the securities regulatory authorities in each of British Columbia, Alberta, Saskatchewan, Manitoba, Ontario, Quebec, New Brunswick, Nova Scotia, Prince Edward Island, and Newfoundland and Labrador for a decision deeming it to have ceased to be a reporting issuer in such jurisdictions, effective upon the closing of the Arrangement and the delisting of Brookfield Residential's common shares from the TSX and the NYSE.
