(the "Issuer") ownership of 1,275,000 common shares of the Issuer and 1,275,000 warrants ("Warrants") to acquire common shares of the Issuer at a price of $0.10 per share expiring five years from closing, pursuant to a non-brokered private placement by the Issuer.
